Wealth Partners Capital Group ("WPCG") is a Palm Beach, Florida-based financial services holding company. WPCG was launched in July 2017 and currently has capital investments in six large wealth management firms. WPCG’s mission, in partnership with these firms, is to identify, value, negotiate with and acquire smaller firms and merge them into its partner firms. Since its inception, WPCG has closed over 130 transactions on behalf of its partner firms, which have added approximately $50 billion to their assets under management (www.wealthpcg.com).
WPCG is seeking to hire an in-house corporate attorney to assist its General Counsel with completing M&A transactions and to provide counsel to WPCG and its partner firms on a variety of legal matters. The qualified individual will assist with the execution of all transactions and will be responsible for: tracking and monitoring diligence and transaction status; drafting documentation; negotiating with Seller’s counsel; closing transactions; and providing general legal services to WPCG’s partner firms. This individual will report directly to WPCG’s General Counsel and WPCG management. WPCG’s fast-paced and entrepreneurial culture places a high premium on a candidate’s ability to take initiative and demonstrate results with minimal oversight.
Duties and Responsibilities
Responsibilities include, but are not limited to, the following:
- Provide legal support on various M&A matters, including drafting agreements, driving transaction process and conducting due diligence.
- Assist with drafting and negotiating M&A-related agreements, including NDAs, letters of intent, asset purchase agreements, disclosure schedules, employment agreements and other ancillary M&A documents.
- Manage internal and external transaction processes and drive continuous process improvements and scale in deal execution.
- Provide counsel and advise on a range of legal matters for WPCG and its partner firms.
- Work closely and collaborate with our General Counsel throughout the life cycle of transactions.
- Other transaction and team responsibilities as assigned.
Skills and Qualifications
Required
- Law degree from an ABA accredited law school.
- Admitted in good standing to practice law in at least one state in the United States.
- Minimum of two to five years of legal M&A experience at a nationally recognized law firm.
- Highly motivated, self-starter with demonstrated ability to deliver results within time constraints in a fast-paced environment.
- Exceptional attention to detail.
- Excellent teamwork and negotiation skills.
Preferred
- Experience with financial services acquisitions, preferably in the RIA and/or asset management industries.
